Description
We are seeking a Corporate Lawyer to provide legal counsel and support on business operations and corporate matters. The role includes drafting and reviewing contracts, handling B2B agreements and negotiations, advising on corporate governance, compliance, and intellectual property (including patents), managing litigation matters in(and between) Israel and the USA (abroad), including commercial disputes and patent litigation. The ideal candidate is detail-oriented, fluent in English, and has experience in litigation, corporate law within a high-tech or international environment.
Requirements
- LL.B. or LL.M. in Law from a recognized university
- Licensed to practice law in Israel
- Minimum 2 years of post-qualification experience in corporate law
- Litigation experience, both initiating litigation and defending litigation. Both in Israel and in the USA
- TASE Public company secretary – plus
- Fluent in English (both written and verbal) – ability to draft, review, and negotiate legal documents in English at a professional level
- Proven experience in B2B transactions, including contract negotiation and drafting.
- Strong knowledge of corporate and commercial law, including incorporation, shareholder agreements, M&A, compliance, and corporate governance.
- Experience reviewing, drafting, and managing legal documents such as NDAs, MOUs, partnership agreements, and service agreements.
- Familiarity with intellectual property law, including patents, trademarks, and copyrights, with the ability to review and advise on patent licensing, assignment agreements, and IP protection strategies
- Ability to provide clear, concise legal advice to non-legal stakeholders
- Strong analytical skills, attention to detail, and ability to assess risk
- Excellent organizational skills and ability to manage multiple projects simultaneously
- Experience in high-tech, SaaS, or international companies– a plus
- Previous collaboration with R&D teams on patent applications, filings, and prosecution processes– a plus
- Business-oriented mindset with the ability to balance legal risk and commercial objectives
- Strong interpersonal skills and ability to work cross-functionally
